1. Acceptance of Terms & Account Creation

By accessing, registering for, or using the Epic 360 platform, applications, or related software services (collectively, the “SaaS Service”), you (“Customer” or “User”) agree to be bound by these Terms of Service (“Agreement”). This Agreement is entered into by and between Customer and Epic Business Systems LLC (“Company”, “we”, “us”, or “our”).

If you are entering into this Agreement on behalf of a business, corporation, or other legal entity, you represent and warrant that you have the full legal authority to bind such entity to these terms.

2. Subscription Plans, Add-Ons & Billing

2.1 Subscription Plans

Epic 360 is provided on a recurring subscription basis (monthly or annually) as specified during account sign-up or in an applicable Order Form.

2.2 Add-On Modules

Customer may enable optional SaaS add-on modules to extend platform functionalities, including but not limited to:

  • Email Integration & Automation
  • Stripe Credit Card Processing Modules
  • Advanced Inventory Management

Note: Professional services, custom setups, or partner offerings are governed separately as set forth in Section 9.

2.3 Fees & Automated Billing

Customer agrees to pay all applicable recurring subscription fees and usage add-on charges. Payments are processed automatically using the payment method on file on the designated billing date.

2.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date in accordance with Section 5.1.

2.5 Subscription Upgrades

If Customer upgrades their subscription tier or adds additional modules mid-cycle, any unused portion of the existing subscription will be applied as a prorated credit toward the upgraded plan immediately.

2.6 Fees Non-Refundable & Past-Due Cancellations

All fees paid under this Agreement are strictly non-refundable. In the event an account is cancelled while in a past-due status, any unpaid subscription invoice for the elapsed unpaid period is voided and closed upon cancellation.

3. Account Responsibilities & Data Rights

  • Account Credentials: Customer is responsible for maintaining the confidentiality of administrative credentials and for all activities occurring under its account.
  • Customer Data: Customer retains all ownership rights, title, and interest in and to all business data, records, images, and content uploaded to or generated by the SaaS Service (“Customer Data”).

4. Service Level Agreement (SLA) & Scheduled Maintenance

4.1 Target Availability

Epic Business Systems LLC uses commercially reasonable efforts to maintain a platform uptime target of 99.5% for core application features, excluding scheduled maintenance.

4.2 Scheduled Maintenance

We reserve the right to perform routine system updates and maintenance. Routine maintenance will be announced at least twenty-four (24) hours in advance via in-app notifications or system status emails, and whenever feasible, scheduled during off-peak usage hours.

5. Term, Suspension & Termination

5.1 Voluntary Cancellation (Account in Good Standing)

Customer may request voluntary cancellation of their subscription at any time via the account settings interface or by contacting support.

  • Effective Termination Date: Cancellation takes effect at the end of the currently paid billing period.
  • Access Rights: Customer retains full access to the SaaS Service until the Effective Termination Date.
  • Data Export & Invoices Window: The Account Owner is granted a thirty (30) calendar day window starting from the Effective Termination Date to log in, export Customer Data, and retrieve historical billing invoices.
  • Data Deletion: Upon expiration of the 30-day post-termination window, all Customer Data will be permanently purged from our active databases.
  • Refunds: No partial or prorated refunds are issued for voluntary cancellations.

5.2 Non-Payment, Grace Period & Past-Due Cancellation

  • (a) Days 1–6 (Soft Grace Period): If a recurring payment fails, the account enters a 6-day soft grace period. Service access remains fully active while automated payment retry attempts and past-due notifications are issued.
  • (b) Day 7+ (Account Suspension): If full payment is not successfully processed by Day 7 following payment failure, the account is automatically suspended. Access to the SaaS platform is blocked for all users until resolved.
  • (c) Cancellation While Past Due or Suspended: If Customer elects to cancel the subscription while the account is past due or suspended:
    1. Access termination is immediate upon cancellation election;
    2. The subscription contract end date is recognized as the end of the last paid billing period;
    3. The Data Export Window is thirty (30) calendar days beginning on the exact date Customer elects cancellation;
    4. The unpaid subscription invoice associated with the past-due balance is voided/closed;
    5. No refunds or monetary credits are provided.
  • (d) Restoring Access & Reactivation Limits: Payment of outstanding balances restores full platform access only while the account is past due or suspended and Customer has not elected cancellation. Once cancellation has been elected, self-service reactivation is disabled; any account reinstatement is governed exclusively by Section 5.6.

5.3 Inactivity Purge Policy

  • Trial & Free Accounts: Accounts without an active paid subscription that remain inactive for ninety (90) consecutive days will be flagged for deletion. The Account Owner will receive four (4) advance email notices prior to permanent purge.
  • Paid Accounts: Accounts in good standing (paid in full) will never be deleted or purged due to user non-login or inactivity.

5.4 Unverified Signup Purge

Unverified user signups or incomplete registration profiles that fail email confirmation within seven (7) calendar days of creation will be automatically purged from the system.

5.5 Data Export Scope

Data exports initiated by the Account Owner during authorized export windows include standard operational data, operational logs, and employee/team contact lists. For security and privacy compliance, exported data explicitly excludes encrypted user passwords.

5.6 Account Reinstatement

Following account cancellation or purge window expiration, there is no self-service reactivation mechanism. Any account reinstatement request must be submitted directly to customer support and is subject to approval at the sole discretion of Epic Business Systems LLC

6. Communications & Email Preferences

6.1 Operational Notifications

System communications are classified into operational, billing, security, system performance notices, and marketing/promotional communications.

6.2 Opt-Out Controls

Customer users may manage notification controls within their account settings, subject to the following rules:

6.3 Role-Based Email Opt-Out Rules

  • Account Owner: The Account Owner may opt out of promotional and marketing communications only. The Account Owner cannot opt out of operational, billing, legal, or mandatory system notices required to administer and operate the account.
  • Standard / Team Users: All other Customer users may independently manage and opt out of any email notification category within their personal user settings.

7. Warranties, Disclaimers & Limitation of Liability

7.1 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SAAS SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EPIC BUSINESS SYSTEMS LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EPIC BUSINESS SYSTEMS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO EPIC BUSINESS SYSTEMS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law & Dispute Resolution

8.1 Governing Law

This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by and construed solely in accordance with the internal laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

8.2 Jurisdiction and Venue

The parties irrevocably agree that any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state or federal courts located in the State of Wyoming, United States, and each party irrevocably submits to the exclusive jurisdiction of such courts.

9. Professional & Partner Services

Partner Program terms, Done-For-You (DFY) services, and professional consulting services, if offered or provided by Epic Business Systems LLC or its partners, are governed by separate written agreement terms and do not form part of this SaaS Agreement unless expressly incorporated herein via a mutually executed Order Form.

10. Miscellaneous

  • Entire Agreement: This Agreement constitutes the complete and exclusive statement of the agreement between Customer and Epic Business Systems LLC regarding the SaaS Service.
  • Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
